Critical Rules (Always Apply)

Good Faith (Article 246, UAE Civil Code)

Every UAE contract must be performed in good faith. Courts can:
- Imply terms based on good faith
- Modify or refuse to enforce clauses exercised in bad faith
- Award damages under Article 106 (abuse of rights)

You cannot contract out of good faith.

Gratuity Formula (Article 51, Labour Law)

First 5 years: 21 days' basic salary × years
After 5 years: 30 days' basic salary × years
Maximum: 2 years' total basic salary

Basic salary only — excludes housing, transport, other allowances.

Healthcare Jurisdiction

• Dubai operations → DHA license required
• Abu Dhabi operations → DOH license required (separate from DHA)
• Expansion requires new licenses in each jurisdiction
